Business brokers sell going concerns with cash flow and goodwill, whether or not real estate is included. Their playbook centers on confidentiality, screened buyers, NDAs, staged disclosures, and secure data rooms. This also includes earnings-based valuation (SDE/EBITDA, risk, industry multiples), creative financing (SBA, seller notes, earn-outs), and coordinated due diligence across operations, contracts, and financials.
